Terms of Service
These Terms of Service (“Terms”) govern your access to and use of the MapOps platform, configured workspaces, and related services (“Service”) provided by MapOps (“MapOps,” “we,” “us,” or “our”). By accessing or using the Service, you agree to be bound by these Terms.
If you have signed a separate written agreement with MapOps (such as a Statement of Work, Subscription Agreement, or Master Services Agreement) covering your use of the Service, that agreement controls and these Terms apply only to the extent not addressed by that agreement.
1. Service Description
MapOps is a territory intelligence and sales operating system. The Service combines regional market data, customer and prospect data, geographic logic, and configured scoring models to help leadership, sales managers, and field teams decide where to focus, which accounts to prioritise, and how to work each territory.
The Service produces decision-support materials, not professional advice. Outputs may contain errors, omissions, or inaccuracies. The Service does not provide legal, financial, engineering, surveying, environmental, or other professional advice. You are responsible for independently verifying all outputs before relying on them. See Section 8 below.
2. Accounts and Access
Access to configured workspaces requires an account or authorised access link provided by MapOps. You are responsible for maintaining the confidentiality of your credentials and for all activity occurring under your account. You must notify us immediately at contact@mapops.co if you suspect unauthorised access.
The Service is intended for professional business use and is not available to individuals under the age of 18.
3. Customer Data Ownership
You own your data. You retain all right, title, and interest in:
- All business records, CRM exports, customer locations, prospect lists, territory assignments, and other content you upload or connect to the Service (“Input Data”)
- All scores, rankings, maps, reports, and other outputs generated by the Service from your Input Data (“Output Data”)
We claim no ownership rights over your Input Data or Output Data. We access your data solely to provide and operate the Service on your behalf, subject to Section 4 below.
4. How We Use Your Data — And How We Don't
To provide the Service, we ingest, normalise, score, and present your data within configured territory models. This processing is performed solely to deliver the Service to you.
What we expressly do not do:
- We do not sell or license your Input Data or Output Data to any third party
- We do not share your customer or prospect records with other MapOps customers
- We do not use your Input Data to build or improve scoring models for other customers without a separate written agreement
- We do not use your data for advertising or unrelated marketing purposes
We may collect, use, and retain aggregated and de-identified data derived from your use of the Service, provided that such data (a) does not identify you, your customers, or any individual and (b) cannot reasonably be used to do so. We may use such aggregated and de-identified data to operate, improve, and develop our products and services.
5. Confidentiality and Sub-Processors
We treat all Customer Data as confidential. We will not disclose your data to any third party except as necessary to provide the Service (for example, to sub-processors listed in our Privacy Policy) or as required by law. If we receive a legal demand for your data, we will notify you before disclosure unless prohibited by law.
We use sub-processors to help deliver the Service, including hosting providers, database providers, mapping services, and scheduling tools. We enter into written agreements with each sub-processor requiring confidentiality obligations at least as protective as those in these Terms.
You agree to treat information about the Service's non-public features, scoring methodologies, and proprietary configuration as confidential. This does not restrict your ability to discuss the Service's general capabilities or share outputs generated for you.
6. Our Intellectual Property
The MapOps name, brand, logos, platform code, user interface designs, scoring methodologies, territory models, prompts, tools, know-how, and all underlying technology (collectively, “MapOps Technology”) remain the exclusive property of MapOps. These Terms grant you a limited, non-exclusive, non-transferable licence to use the Service during the term of your engagement. This licence does not grant you any rights to MapOps Technology beyond use of the Service as intended.
You may provide feedback, suggestions, and ideas about the Service. We may use such feedback freely and without obligation to improve our products and services.
7. Territory Intelligence Outputs
The Service may combine your Input Data with public regional data, third-party datasets, and MapOps scoring logic to produce territory scores, account rankings, maps, and prospect-facing views. Output quality depends on input quality, source availability and currency, and model configuration, all of which may vary.
In delivering the Service, we may access and process information from public sources (government statistics, business registers, mapping services, and similar publicly accessible materials) and from third-party sources lawfully accessible to us. Source availability, completeness, accuracy, currency, and continued accessibility are outside our control.
Where configured, we may use third-party infrastructure or analytics services to operate the Service. Those providers process data only as needed to perform their function on our behalf.
8. Decision-Support; No Professional Advice; No Reliance
Outputs of the Service are decision-support materials only. They are intended to inform, accelerate, and support your own review and decision-making process, and are not a substitute for the judgment of qualified professionals. Without limiting the foregoing:
- Outputs do not constitute legal advice, financial advice, market guarantees, or an official statement of commercial suitability
- We do not warrant that outputs identify every relevant account, market factor, competitor move, or territory constraint
- You are solely responsible for independently verifying outputs and for any territory assignment, outreach, investment, hiring, or other action taken in reliance on an output
- We have no liability for losses arising from your reliance on an output without independent verification
9. Indemnification
Your indemnity
You will defend MapOps against any third-party claim arising from (a) data you upload or process through the Service or (b) your use of the Service in violation of these Terms, and will pay any judgment finally awarded or settlement amount you agree to in connection with such claim.
Our indemnity
We will defend you against any third-party claim alleging that MapOps Technology infringes an Australian patent, copyright, trademark, or trade secret, and will pay any judgment finally awarded or settlement amount we agree to, subject to standard exclusions for your modifications, combinations, misuse, or Input Data.
This Section states the parties' entire liability and sole remedy for third-party claims covered by this Section, subject to any non-excludable rights under applicable law.
10. Limitation of Liability
To the maximum extent permitted by applicable law:
- Exclusion of indirect damages. Neither party will be liable to the other for any indirect, incidental, consequential, special, or punitive damages, including lost profits, lost revenue, lost business, or lost data, arising out of or in connection with these Terms
- Cap on direct damages. Each party's total cumulative liability arising out of or in connection with these Terms is limited to the fees you paid to MapOps during the three (3) months immediately preceding the event giving rise to the claim
- Supercap for confidentiality and data security breaches. Notwithstanding the cap above, each party's total cumulative liability arising out of or related to a breach of Section 5, including any data security incident involving your Customer Data, is limited to the greater of (i) fifty thousand Australian dollars (AUD $50,000), or (ii) the fees you paid to MapOps during the twelve (12) months immediately preceding the event
- Consumer law. Nothing in these Terms excludes, restricts, or modifies any guarantee, right, or remedy that cannot be excluded under the Australian Consumer Law or other applicable non-excludable rights
11. Disclaimer of Warranties
The Service is provided “as is” and “as available.” Except as expressly provided in these Terms or a separate written agreement, we disclaim all warranties, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy of outputs. We make no warranties regarding the continued availability of any data source or feature.
12. References and Publicity
You grant us the right to identify you as a customer and to use your name and logo for that purpose in marketing materials, website listings, and investor materials. Any published case study or detailed public reference about you requires your prior written approval, which will not be unreasonably withheld.
13. Data Deletion
You may request deletion of your data at any time by contacting contact@mapops.co. We will delete your Input Data, Output Data, and derived workspace records within 30 days of your request and provide written confirmation upon completion, except:
- copies retained in routine IT backups until those backups are overwritten in the ordinary course of business
- copies retained to comply with legal, regulatory, or audit requirements
- aggregated and de-identified data as permitted in Section 4
14. Termination
Either party may terminate these Terms with 30 days' written notice. Upon termination, you may request export of your data for up to 30 days. After that period, we will delete your data in accordance with Section 13. We may suspend access immediately if we reasonably believe you are violating these Terms or if your account is more than 30 days past due on payment.
15. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes at least 30 days before they take effect. Continued use of the Service after the effective date constitutes acceptance. If you disagree with any changes, you may terminate your account.
16. Governing Law and Venue
These Terms are governed by the laws of New South Wales, Australia, without regard to conflict of law principles. The parties consent to the exclusive jurisdiction of the courts located in New South Wales, Australia, for any dispute arising out of or in connection with these Terms.
17. General
Independent contractor. We are an independent contractor. Nothing in these Terms creates an employment, partnership, joint venture, or agency relationship between you and us.
Assignment. You may not assign these Terms without our prior written consent, except in connection with a merger, acquisition, or sale of all or substantially all of your assets.
Force majeure. Neither party is liable for any failure or delay in performance caused by events beyond its reasonable control. This does not excuse your payment obligations.
Entire agreement. These Terms (together with any written agreement between you and MapOps) constitute the entire agreement between you and us with respect to the Service.
Survival. Any provision that by its nature should survive termination will survive, including Sections 3, 5, 6, 7, 8, 9, 10, 11, 13, and 16.
